NOTICE of the ANNUAL GENERAL MEETING
of the British Columbia Mountaineering Club (BCMC)
to be held on November 14, 2023 at 7:30 pm
LOCATION: (IN PERSON) Anza Club, 3 West 8th Avenue, Vancouver, B.C.
To be followed by a presentation by Maria Massiar on snowshoeing.
You must have been a member of the BCMC for at least one year to be eligible to vote. Only members in good standing can vote.
Please arrive early to register to vote BCMC 2023 AGM Agenda – November 14th, 2023
Call to Order (Glenn Woodsworth, President)
Determine that there is a quorum
Approve the agenda
Approve the Minutes of the 2022 BCMC AGM
Consideration of the report of the Board on its activities and decisions since the last AGM
Presentation of (Receive) the financial statements for the previous 2022-23 financial year
Business arising out the financial statements, the report of the Board
Elect directors (Chris Ludwig to chair the election) (see appendix a)
Discussion and vote on the special resolution below (see appendix b)
10. Adjournment.

Please note that the BCMC Constitution limits the number of club members who can serve on the Board of Directors (a.k.a. Executive Committee) to no more than 17.
We are always looking for members to volunteer time to support our club's growth and ongoing program development.
Appendix B. NOTICE OF SPECIAL RESOLUTION
The Board of Directors of British Columbia Mountaineering Club (the “Club”) hereby gives notice of the following special resolution, which will be debated and voted on at the annual general meeting on Tuesday, November 14th, 2023 at 7:30 PM at the ANZA Club, 3 West 8th, Vancouver, B.C.
MOVED AS A SPECIAL RESOLUTION THAT BYLAW 2.10 BE ADDED TO THE BYLAWS, AS FOLLOWS:
“2.10 1) The Board may suspend, discipline or expel a Member for conduct substantively detrimental to the Club by a vote of which not fewer than two-thirds of the Directors then in office are in favour.
2) A Member who is the subject of a Board Resolution to suspend, discipline or expel the Member must be given:
a) reasonable notice of the Board meeting at which the resolution will be considered, and
b) an opportunity to be heard at the meeting before the resolution is voted upon.”
EXPLANATORY NOTES
A special resolution cannot be amended.
Two-thirds (66 2/3%) of the Members eligible to vote who are present at the meeting must vote in favour of a special resolution for it to pass, and a quorum must be present. Only Members in good standing may vote.
The resolution, if it passes, does not take effect until it is filed with Societies OnLine.
